This End User License Agreement ("EULA") is a legal agreement between you and Vertex AppLabs ("Company," "we," "our," or "us") for the use of our software applications, mobile applications, games, and other digital products (collectively, the "Licensed Application" or "Application"). By downloading, installing, accessing, or using the Licensed Application, you agree to be bound by the terms and conditions of this EULA.

The Licensed Application, including all content, features, functionality, software code, designs, graphics, user interfaces, trademarks, logos, and other materials, is owned by Vertex AppLabs or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
This EULA grants you no rights to our trademarks, service marks, or logos. All rights not expressly granted to you under this EULA are reserved by Vertex AppLabs.

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the Licensed Application, you consent to our collection and use of your information as described in our Privacy Policy.
The Licensed Application may collect and use technical data and related information, including but not limited to device information, usage statistics, and analytics data, to improve our products and services.
We may from time to time provide updates, upgrades, patches, or modifications to the Licensed Application ("Updates"). These Updates may be automatically downloaded and installed without prior notice to you. Updates are subject to this EULA unless accompanied by a separate license agreement.
We reserve the right to modify, suspend, or discontinue any feature or functionality of the Licensed Application at any time without notice or liability.
The Licensed Application may offer in-app purchases, premium features, or subscription services. All purchases are processed through the applicable platform's payment system (e.g., Apple App Store, Google Play Store) and are subject to their terms and conditions.
The Licensed Application may integrate with or provide access to third-party services, websites, content, or advertisements. We do not control and are not responsible for any third-party services or content. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
If the Licensed Application allows you to create, submit, post, or share content ("User Content"), you retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such User Content in connection with operating and improving the Licensed Application.

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
WE DO NOT WARRANT THAT THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERTEX APPLABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US FOR THE LICENSED APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Vertex AppLabs and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
This EULA is effective from the date you first download, install, or use the Licensed Application and continues until terminated.
You may terminate this EULA at any time by uninstalling and ceasing all use of the Licensed Application.
We may terminate or suspend your license immediately, without prior notice, if you breach any provision of this EULA. We may also discontinue the Licensed Application at any time.
Upon termination, you must immediately cease all use of the Licensed Application and delete all copies from your devices. Sections of this EULA that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.
If you download the Licensed Application from the Apple App Store, you acknowledge and agree that:
If you download the Licensed Application from Google Play, you agree to comply with Google Play's Terms of Service and acknowledge that Google is not responsible for the Licensed Application.
You may not use or export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government prohibited or restricted party list.
This EULA shall be governed by and construed in accordance with the laws of the United States and the jurisdiction where Vertex AppLabs is established, without regard to its conflict of law provisions.
Any disputes arising out of or relating to this EULA shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights.
We reserve the right to modify this EULA at any time. We will notify you of material changes by posting the updated EULA within the Licensed Application or on our website. Your continued use of the Licensed Application after such changes constitutes your acceptance of the updated EULA.
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original provision.
This EULA, together with our Privacy Policy and any other legal notices published by us, constitutes the entire agreement between you and Vertex AppLabs regarding the Licensed Application and supersedes all prior agreements and understandings.
