Vertex AppLabs specializes in the development, publishing, marketing, licensing, and distribution of software and digital products, including but not limited to:

• Mobile applications (iOS and Android)
• Web applications and websites
• Mobile games, PC games, and console games
• Software as a Service (SaaS) products
• Digital content and related services
• Software licensing and distribution services
• Marketing and promotional services for digital products

3. Client Responsibilities

3.1 Information and Materials

You agree to:

• Provide accurate, complete, and timely information necessary for project completion
• Supply all required materials, content, and assets in a timely manner
• Respond promptly to requests for feedback, approval, or clarification
• Ensure you have the legal right to use all materials provided to us

3.2 Compliance

You warrant that your project and intended use of our services:

• Comply with all applicable laws and regulations
• Do not infringe on third-party intellectual property rights
• Do not contain illegal, harmful, or offensive content
• Meet all relevant industry standards and platform requirements

4. Intellectual Property Rights

4.1 Client-Owned Content

You retain ownership of all intellectual property you provide to us, including but not limited to trademarks, copyrights, trade secrets, and proprietary information.

4.2 Work Product

Upon full payment of all fees, you will own the custom software, applications, or digital products developed specifically for you, subject to our retained rights in:

• Pre-existing intellectual property and proprietary methodologies
• Third-party software, libraries, and components
• General knowledge, skills, and experience gained during the project

4.3 License to Use

You grant us a non-exclusive license to use your intellectual property solely for the purpose of providing the agreed services.

5. Payment Terms

5.1 Fees and Billing

• All fees are as specified in individual project agreements or statements of work
• Payment terms are typically 30 days from invoice date unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month
• All fees are non-refundable unless otherwise specified

5.2 Additional Costs

Additional costs may apply for services beyond the original scope, including but not limited to app store fees, third-party service costs, and expedited delivery requests.

6. Project Timeline and Delivery

6.1 Timelines

Project timelines are estimates based on the scope of work and your timely provision of required materials and feedback. Delays in client responses may extend delivery dates.

6.2 Acceptance

You have 10 business days to review and request changes to deliverables. Failure to respond within this period constitutes acceptance.

7. Confidentiality

We agree to maintain the confidentiality of your proprietary information and will not disclose such information to third parties without your consent, except as required by law or to fulfill our obligations under these Terms.

8. Warranties and Disclaimers

8.1 Limited Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. For software products, we provide a 90-day warranty against material defects from the date of delivery.

8.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL VERTEX APPLABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

10. Termination

10.1 Termination by Either Party

Either party may terminate ongoing services with 30 days written notice. Upon termination, you will pay for all work completed up to the termination date.

10.2 Termination for Cause

Either party may terminate immediately for material breach of these Terms, provided the breaching party has been given written notice and 10 days to cure the breach.

11. Force Majeure

Neither party shall be liable for any delay or failure in performance due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Vertex AppLabs is established. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Your continued use of our services constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
